Paul has practiced law since 1993 with a focus on tax and business transactions.

He regularly represents:

  • Businesses engaging in domestic and multi-national merger and acquisition transactions. Paul has experience working on every aspect of a merger or acquisition including target identification, financial analysis, tax structuring, drafting and negotiation of the deal terms, closing, and post-closing integration. Because tax issues usually determine the ideal structure and post deal cash flow, Paul offers clients specific expertise in buy-side tax due diligence and planning.
  • Businesses and individuals before federal, state and local taxing authorities in the US Tax Court, the US Bankruptcy Court, and administratively before the IRS. Paul has a long history of success defending clients undergoing a tax audits and appeals.
  • Businesses with respect to general formation and operational issues. Paul advises clients on leases, sales, acquisitions and dispositions of assets and businesses. Recent business transactions include organization of an urgent care practice group, seller-side representation of a steel fabrication company, assistance with debt financing underwriting for a wholesale seafood processing company, target identification and analysis for an offshore steel company moving to the US, and advice concerning the acquisition of a multi-location convenience store holding company. Paul has advised and structured deals of all sizes, from sale of a $50,000 stand-alone subway franchise to acquisition of a $10 billion multi-state natural gas pipeline company
  • Businesses in distress. Paul’s broad legal knowledge and practical experience through good and bad economic cycles enables him to assist businesses undergoing hardship as well as lenders and investors.
